These Terms & Conditions ("Terms", "Terms and Conditions") govern your access to and use of websites, applications, digital products, software, services and other products operated or provided by Magneta Ltd ("Magneta", "we", "us", or "our").

By accessing or using a Magneta website, application, product or service, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the relevant service.

Important: Different Magneta products may have additional terms that apply specifically to that product. If product-specific terms conflict with these Terms, the product-specific terms will apply to the extent of the conflict.

2. Acceptance of These Terms

By accessing, browsing, registering for, downloading, installing or using any Magneta service, you confirm that you have read, understood and agree to these Terms.

If you are using a Magneta service on behalf of a company, organisation or other legal entity, you confirm that you have authority to bind that entity to these Terms.

If you do not have such authority, or if you do not agree to these Terms, you must not use the service.

3. Eligibility

You must meet any age, residency, legal or other eligibility requirements applicable to the particular Magneta product or service you are using.

8. Acceptable Use

You agree to use Magneta services responsibly, lawfully and respectfully.

You must not use our services to:

  • Break any applicable law or regulation;
  • Commit fraud or facilitate fraudulent activity;
  • Harass, threaten, abuse or intimidate another person;
  • Discriminate against another person unlawfully;
  • Distribute malicious software or harmful code;
  • Attempt to compromise the security of our systems;
  • Interfere with the operation of our services;
  • Access areas of our systems without authorisation;
  • Scrape, crawl or harvest information without permission;
  • Reverse engineer our software except where permitted by law;
  • Use automated systems to abuse or overload our services;
  • Infringe intellectual property rights;
  • Publish unlawful or harmful content;
  • Attempt to deceive other users;
  • Promote scams or fraudulent schemes;
  • Collect personal information from other users without lawful justification;
  • Use our services for unauthorised commercial solicitation; or

9. User Content

Certain Magneta services may allow you to upload, submit, publish, transmit or otherwise make available content.

This may include text, photographs, videos, profile information, comments, messages, documents or other material ("User Content").

You remain responsible for the User Content that you submit.

9.1 Your Responsibilities

By submitting User Content, you confirm that:

  • You have the necessary rights to submit the content;
  • The content is accurate to the extent accuracy is required;
  • The content does not unlawfully infringe another person's rights;
  • You have obtained any necessary permissions;
  • The content does not contain malicious software;
  • The content does not unlawfully expose another person's personal information;
  • The content does not violate these Terms; and
  • The content does not breach applicable law.

9.2 Licence to Operate the Service

Where necessary to provide the relevant service, you grant Magneta a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display and transmit your User Content for the purposes of operating, maintaining, securing and improving the relevant service.

This licence does not transfer ownership of your User Content to Magneta.

10. Content Moderation

We may use automated systems, human review, reports from users and other methods to identify content or activity that may violate these Terms.

We may remove, restrict, disable access to or otherwise moderate content where we reasonably believe that it violates these Terms, applicable law, safety requirements or the legitimate operation of our services.

We are not required to monitor all User Content and cannot guarantee that inappropriate or unlawful content will always be identified.

11. Nikanama

Nikanama is a Muslim marriage application developed and operated by Magneta. The service is intended to help users connect with the intention of pursuing marriage.

By using Nikanama, you acknowledge that the service is designed around marriage-focused connections and that you are expected to interact with other users respectfully and honestly.

11.1 Authenticity

Users must provide truthful and accurate information about themselves. You must not deliberately misrepresent your identity, marital status, intentions, age or other material information.

11.2 Marriage Intentions

Nikanama is designed for users who are genuinely interested in pursuing marriage. You must not use the service primarily for harassment, casual exploitation, financial solicitation, fraud or other purposes inconsistent with the service.

11.3 User Interactions

Magneta does not guarantee that any connection, conversation or match will result in marriage or any other relationship.

You are responsible for exercising appropriate judgment when communicating with other users and deciding whether to meet or communicate outside the platform.

11.4 Safety

You should not share passwords, financial information, identity documents, banking details or other highly sensitive information with another user unless you are satisfied that doing so is safe and appropriate.

You should exercise particular caution if another user asks you for money, financial assistance, gifts, investments, account credentials or personal documents.

11.5 No Guarantee of User Identity

Although Magneta may implement verification, moderation or safety features, we cannot guarantee that every user is who they claim to be or that every piece of information provided by a user is accurate.

Users remain responsible for conducting appropriate checks and exercising reasonable caution.

12. Communications Between Users

Some services may allow users to communicate directly with one another.

You are responsible for your communications and interactions with other users.

You must not use messaging or communication features to:

  • Harass or intimidate others;
  • Send spam or unsolicited commercial messages;
  • Request money through deceptive means;
  • Send unlawful or harmful material;
  • Attempt to obtain sensitive information improperly;
  • Promote fraudulent schemes;
  • Share another person's private information without permission; or
  • Otherwise misuse the communication system.

13. Reporting and Blocking

Where available, users may report or block other users or content.

We may investigate reports and take action where we consider it appropriate. Such action may include warnings, content removal, restrictions, suspension or termination of accounts.

We do not guarantee that every report will result in a particular outcome.

14. Intellectual Property

Unless otherwise stated, Magneta or its licensors own or control all intellectual property rights in our websites, applications, software, branding, designs, logos, interfaces, text, graphics, functionality and other materials provided by us.

These rights may include copyright, trademarks, database rights, design rights, patents, trade secrets and other intellectual property rights.

Nothing in these Terms transfers ownership of Magneta intellectual property to you.

15. Limited Licence to Use Our Services

Subject to these Terms, Magneta grants you a limited, non-exclusive, non-transferable and revocable licence to access and use our services for their intended purpose.

You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from our services except where expressly permitted by law or authorised by Magneta.

16. Magneta Trademarks

The Magneta name, logo, branding, product names and related marks may be trademarks or other protected intellectual property belonging to Magneta or its licensors.

You may not use Magneta trademarks without prior written permission.

17. Third-Party Services

Our services may integrate with or contain links to third-party services, platforms, software, payment providers, analytics providers or other technologies.

Third-party services may be governed by their own terms and privacy policies.

Magneta is not responsible for third-party services that we do not control.

18. Payments

Certain Magneta products or features may require payment, subscription or other fees.

Where applicable, pricing, billing periods, payment methods and cancellation terms will be presented to you before you make a purchase.

Payments may be processed by third-party payment providers. Your use of those payment services may also be subject to the provider's terms.

19. Subscriptions

Where a Magneta product offers subscriptions, the applicable subscription terms will be presented during purchase.

Depending on the platform through which you purchase a subscription, you may need to manage your subscription through the relevant app store or payment provider.

Subscription prices may change where permitted by law. Where required, we will provide appropriate notice before changes take effect.

20. Refunds and Consumer Rights

Nothing in these Terms is intended to remove or restrict any rights you may have under applicable consumer protection law.

If you are a consumer in the United Kingdom, you may have statutory rights relating to digital content and digital services, including rights concerning quality, conformity and remedies.

Where applicable, cancellation and refund rights will be explained at the point of purchase or in the relevant product terms.

21. Free Services

Some Magneta services or features may be offered free of charge.

25. Suspension and Termination

26. Termination by You

You may stop using a Magneta service at any time.

Where the service provides an account deletion function, you may use that function to request deletion of your account.

Closing an account does not necessarily result in immediate deletion of all information where we are legally required or otherwise permitted to retain certain information.

27. Disclaimers

To the maximum extent permitted by law, Magneta provides services on an "as available" and "as reasonably provided" basis.

We do not guarantee that:

  • The service will always meet your individual expectations;
  • The service will be uninterrupted;
  • The service will always be free from errors;
  • All content will be accurate or complete;
  • All users will behave honestly or appropriately;
  • Any match or connection will result in marriage or another relationship;
  • The service will be compatible with every device;
  • The service will always remain unchanged; or
  • Any particular result will be achieved through use of the service.

28. User Interactions and Relationships

Magneta provides technology that may facilitate communication or connections between users. Magneta is not a party to any personal, social, romantic or marital relationship formed between users.

We do not guarantee the identity, intentions, character, behaviour, compatibility, honesty or suitability of another user.

Any decision to communicate with, meet, marry or otherwise interact with another user is made at your own discretion.

29. No Professional Advice

Information provided through Magneta services is for general informational purposes unless expressly stated otherwise.

Our services do not constitute legal, financial, medical, psychological, religious or professional advice.

Where you require professional advice, you should consult an appropriately qualified professional.

30. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Subject to that restriction, Magneta will not be responsible for losses that are not reasonably foreseeable or that arise indirectly from your use of our services.

Magneta is not responsible for losses arising from:

  • Your misuse of the service;
  • Your violation of these Terms;
  • Your interactions with other users;
  • Information supplied by another user;
  • Third-party services outside our reasonable control;
  • Unauthorised access caused by your failure to protect your credentials;
  • Network or internet failures;
  • Device incompatibility; or
  • Events outside our reasonable control.

31. Consumer Liability Rights

If you are a consumer, nothing in these Terms affects your statutory rights that cannot legally be excluded or restricted.

In particular, nothing in these Terms is intended to exclude or restrict liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

32. Indemnity

To the extent permitted by law, you agree to compensate Magneta for reasonable losses, liabilities, costs and expenses arising from your unlawful use of the service, your serious breach of these Terms, or your infringement of another person's rights.

This provision does not apply to the extent that the relevant loss was caused by Magneta's own unlawful conduct or negligence.

Your use of Magneta services is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store and protect personal information.

Our Cookie Policy explains how cookies and similar technologies may be used on relevant websites and services.

34. Data Protection

Your continued use of the relevant service after updated Terms take effect means that you accept the revised Terms, unless applicable law requires another form of acceptance.

40. Governing Law

These Terms are governed by the laws of England and Wales, subject to any mandatory consumer protection laws that apply to you.

41. Jurisdiction

Subject to any mandatory rights available to consumers under applicable law, the courts of England and Wales shall have jurisdiction over disputes arising in connection with these Terms.

42. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

43. No Waiver

If Magneta does not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce that provision later.

44. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

Magneta may transfer or assign its rights and obligations where reasonably necessary as part of a restructuring, merger, acquisition, sale of assets or other corporate transaction, subject to applicable law.

45. Entire Agreement

These Terms, together with any product-specific terms, Privacy Policy, Cookie Policy and other documents expressly incorporated into these Terms, constitute the agreement between you and Magneta regarding your use of the relevant service.

46. Third-Party Rights

Unless expressly stated otherwise, these Terms do not give any third party the right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.
